NCLT Sanctions Meghmani Group Amalgamation, Clarifies Approval Does Not Waive Statutory Liabilities

  • NCLT Sanctions Meghmani Group Amalgamation, Clarifies Approval Does Not Waive Statutory Liabilities

On 8 October, the Ahmedabad Bench of the National Company Law Tribunal (NCLT) sanctioned the scheme of amalgamation of Kilburn Chemicals Limited and Meghmani Crop Nutrition Limited with Meghmani Organics Limited, holding that the scheme does not exempt the companies from statutory liabilities or regulatory compliances.

A Bench comprising Judicial Member Shammi Khan and Technical Member Sanjeev Sharma heard the joint petition filed by the three companies and sanctioned the scheme under Sections 230–232 of the Companies Act, 2013. It observed:

“Sanction of the Scheme shall not be construed as granting exemption from payment of stamp duty, taxes, fees, cess or any other statutory levy, nor shall it dispense with any approval, permission, consent or compliance required under any applicable law.”

The companies proposed the amalgamation to simplify their group structure, integrate operations, reduce costs, improve administration and achieve operational and financial synergies. The scheme fixes 1 January 2026 as the Appointed Date.

On 20 April 2026, the Tribunal dispensed with meetings of shareholders of the transferor companies and directed the transferee company to convene meetings of its shareholders and creditors. The meetings took place on 6 June 2026, and the companies filed the reports on 15 June 2026.

The companies served notices on the Regional Director (RD), Registrar of Companies (RoC), Official Liquidator (OL), Securities and Exchange Board of India (SEBI), BSE, NSE and the Income Tax Department.

The RD and RoC raised queries regarding the rationale for the Appointed Date, compliance with SEBI circulars, the scheme's consistency with applicable requirements, and the absence of corporate insolvency resolution or winding-up proceedings. The companies explained that they selected 1 January 2026 based on the financial cut-off of 31 December 2025. They also confirmed that they had submitted the draft scheme to the stock exchanges and undertook to discharge statutory liabilities, preserve records and pay applicable stamp duty.

The Official Liquidator recommended that the companies preserve their books, comply with applicable laws, dissolve the transferor companies without winding-up under Section 232(3)(d) of the Companies Act, 2013, and file certified copies of the sanction order. The companies accepted these directions.

The Income Tax Department reported pending demands against Kilburn Chemicals and Meghmani Organics. It sought prior approval under Section 281 of the Income Tax Act for the transfer of capital assets and required the companies to preserve records for eight years. The companies undertook to discharge lawful tax liabilities and preserve the records.

The companies also submitted that the accounting treatment under the scheme complied with the accounting standards prescribed under Section 133 of the Companies Act, 2013, and that no proceedings or investigations were pending against them.

The Bench found that the companies had complied with the statutory procedure under Sections 230–232 and that the shareholders and creditors had approved the scheme. It also noted that the stock exchanges' no-objection letters were not required because the transferor companies were wholly owned subsidiaries of the transferee company.

The Bench relied on Miheer H. Mafatlal v. Mafatlal Industries Ltd. and Hindustan Lever Employees' Union v. Hindustan Lever Ltd. to reiterate that courts should respect stakeholders' commercial wisdom once statutory requirements and fairness are established. It clarified that sanction of the scheme would not absolve the companies of their statutory obligations.

Accordingly, the NCLT sanctioned the amalgamation with effect from 1 January 2026, directing the transfer of the transferor companies' assets, liabilities, contracts, employees and proceedings to Meghmani Organics Limited, along with compliance with applicable SEBI regulations and statutory record-preservation and filing requirements.
