NCLT Hyderabad Approves Merger Of Six Group Companies Into Triumphant Institute Of Management Education (TIME)

The National Company Law Tribunal (NCLT) at Hyderabad has approved a composite scheme of amalgamation and arrangement under which six group companies will merge into Triumphant Institute of Management Education Pvt Ltd (TIME).
The order was passed by a bench comprising Judicial Member Rajeev Bhardwaj and Technical Member Sanjay Puri while allowing a joint company petition filed by the companies.
The scheme had earlier been approved by the boards of the petitioner companies on July 7, 2025.
Triumphant Institute of Management Education (TIME) is an Indian test-preparation and education services company known for coaching students for competitive examinations, including the Common Admission Test (CAT) and other management entrance exams.
Under the scheme, Vibrant Education Services Pvt Ltd, T.I.M.E. Kids Pvt Ltd, Amoha Education Pvt Ltd, Ramakrishna Institute of Management Studies Pvt Ltd, Jigeesha Trading Pvt Ltd and Supreme Education Pvt Ltd will merge into Triumphant Institute of Management Education Pvt Ltd, the transferee company.
The scheme also provides for a demerger of certain business verticals. The school support services business will be transferred to Triumphant Educational Services Pvt Ltd, while the pre-school business will be transferred to Kids Early Education Pvt Ltd, both newly incorporated in 2025.
The tribunal noted that shareholders had given their consent to the scheme and that statutory authorities including the Regional Director, Official Liquidator and the Income Tax Department were notified.
Finding no substantive objections, the tribunal sanctioned the scheme.
