NCLT Ahmedabad Clears First Motion In Vitanosh Ingredients–Lactose India Merger

The National Company Law Tribunal (NCLT) at Ahmedabad has cleared the first motion in the proposed amalgamation of Vitanosh Ingredients Private Limited, a dairy products company with listed lactose manufacturing company Lactose (India) Limited.

A coram of Judicial Member Shammi Khan and Technical Member Sanjeev Sharma directed Lactose (India) Limited to convene a meeting of its 16,900 equity shareholders on March 28, 2026 at 10:30 AM through video conferencing or other audio-visual means.

The tribunal dispensed with meetings of the secured and unsecured creditors of both companies after recording that no compromise or extinguishment of liabilities is proposed under the scheme and that both companies have excess assets over liabilities, as certified by a Chartered Accountant.

Vitanosh Ingredients has two equity shareholders who furnished consent affidavits. It also has two secured creditors and five unsecured creditors. Accordingly, their meetings were dispensed with.

Lactose (India) Limited has four secured creditors and 235 unsecured creditors. Their meetings were also dispensed with on similar grounds.

Vitanosh Ingredients, incorporated in 2019 and based in Surat, is engaged in manufacturing and trading dairy-based products including lactose, whey, milk powder and related milk products.

Lactose (India) Limited, incorporated in 1991 and listed on BSE, manufactures pharmaceutical-grade lactose monohydrate with an annual capacity of 10,000 metric tonnes.

The scheme aims to strengthen manufacturing operations, raise total capacity from 10,000 to 15,000 metric tonnes per annum, and expand into anhydrous and spray-dried lactose.
