NCLT Chandigarh Approves Amalgamation Of Livpure Private Limited With Livpure Smart Homes

The National Company Law Tribunal (NCLT) in Chandigarh has approved the merger of Livpure Private Limited with Livpure Smart Homes Private Limited, allowing the two companies to operate as a single entity.

The order was passed by Judicial Member Khetrabasi Biswal and Technical Member Kaushalendra Kumar Singh.

Approving the scheme, the tribunal observed, “The Composite Scheme contemplated between the petitioner companies, appears to be prima facie in compliance with all the requirements stipulated under the relevant Sections of the Companies Act, 2013.”

With the sanction, all assets, liabilities, contracts and employees of Livpure Private Limited will transfer to Livpure Smart Homes. The transferor company will stand dissolved without undergoing a separate winding-up process.

The tribunal fixed April 1, 2024 as the appointed date for the merger, meaning the combination will take effect from that date.

Livpure is a consumer brand known for water purifiers and other home appliances, operating in the home solutions and consumer durables segment in India.

The boards of both companies had approved the merger in October 2024. Shareholders and creditors gave their consent, public notices were issued, and no objections were received following publication. Regulatory authorities raised certain observations, to which the companies responded. The Official Liquidator reported no objection to the scheme.
