Sahil Rajendra Lodha, son of former Lodha Developers promoter Rajendra Narpatmal Lodha, has approached the Bombay High Court alleging that Abhishek Mangal Prabhat Lodha, the company's Managing Director and CEO, misused his position to coerce his father and family into executing consent terms.

The terms allegedly facilitated the transfer of assets worth over ₹4,000 crore.

Justice Arif Doctor, who took up the matter on October 28, adjourned the matter to November 27, 2026. The parties have been allowed three weeks to complete their pleadings.

The interim application seeks to set aside the consent decree. It alleges that the consent terms, taken on record by the High Court on January 28, 2026, were executed under coercion and undue influence. The applicants contend that Rajendra Lodha did not give his free consent and was in custody when the terms were executed.

The application alleges that the consent terms provide for the release of documents kept in escrow if the defendants breach the terms. These documents allegedly contain confessions and admissions to criminal charges, which the applicants claim were obtained through coercion. The application states:

"The consent terms provide for a breach clause by virtue of which, in case the Defendants commit breach of the consent terms, the connected documents shall be released from escrow which are intended to be detrimental to the rights of the Defendants. The connected documents are draconian in nature such that Defendant Nos. 1 and 3 were caused to execute documents wherein, under extreme pressure and egregious levels of coercion, they have confessed to false criminal charges levied against them thereby self-incriminating themselves."

The dispute stems from differences between Rajendra Lodha and Abhishek Lodha. The latter was appointed Managing Director and CEO of Lodha Developers on March 9, 2016.

According to the applicants, Rajendra Lodha was arrested on September 17, 2025, in connection with an FIR registered at NM Joshi Marg Police Station over allegations of cheating Lodha Developers of approximately ₹85 crore through irregular land transactions. The allegations included selling company-owned properties at undervalued rates, fraudulent land deals and irregularities in Transferable Development Rights (TDR) transactions.

The case was subsequently transferred to the DCB, CID, Unit – Property Cell, Mumbai.

The applicants allege that Abhishek Lodha and the company pressured the family while Rajendra Lodha was in custody. They were allegedly asked to sell their shareholding in Lodha Developers and another entity, sever ties with Abhinandan Lodha, and agree not to carry out any work in Maharashtra.

The application further alleges that the consent terms required Rajendra Lodha and his family to relinquish assets worth over ₹4,000 crore. They were also required to pay ₹100 crore to the company.

The applicants have challenged clauses that allegedly prohibit the family from entering, visiting, or remaining in Maharashtra for seven years. The terms also restrict them from engaging in real estate business anywhere in India, except Rajasthan and Madhya Pradesh, for 15 years.

They have further alleged that any breach, as determined solely by the company, would attract a penalty of ₹5 crore.

The plea claims that 19,81,442 Class E equity shares held by Rajendra Lodha in another entity, with an alleged market value of approximately ₹3,000 crore, were transferred to that entity or its nominee for ₹19.81 lakh.

The applicants also allege that other assets worth approximately ₹70 crore were transferred to Lodha Developers without consideration. Further, loans advanced by the defendants amounting to approximately ₹36.77 crore were allegedly assigned to the company for just ₹1,800.

The application also questions the circumstances in which the consent terms were executed. According to the application, Rajendra Lodha executed the terms on January 20, 2026, while he was in custody. The other defendants executed them between January 22 and 23.

The consent terms and connected documents were subsequently taken on record by the High Court on January 28, 2026. The applicants have also alleged that the suit was never served on Rajendra Lodha before he executed the terms.

The application refers to subsequent events, alleging that the company initiated further criminal proceedings despite the consent terms. It states that the company filed another criminal complaint on February 3, 2026.

It further alleges that an FIR was registered against Rajendra Lodha and others at NM Joshi Marg Police Station on October 22, 2026. The applicants claim that this was in breach of the consent terms.
